Background: Party of the First Part (hereinafter referred to as the "Owner") is the creator of the Love Alchemy course, an original and proprietary program that includes written, audio, video, and digital content focusing on [detailed description of the course content]. Party of the Second Part (hereinafter referred to as the "UGC Creator") desires to access and participate in the Love Alchemy course and agrees to the terms of this Agreement for such access. Agreement: 1. Intellectual Property Ownership: 1.1. The Love Alchemy course, including all content, materials, concepts, methodologies, techniques, and ideas related to the course, are and shall remain the exclusive intellectual property of the Owner. 1.2. Any derivative works, adaptations, modifications, or enhancements of the Love Alchemy course and its content created by the User shall be considered the exclusive property of the Owner. 2. License and Usage: 2.1. Subject to the terms of this Agreement, the Owner grants the User a non-exclusive, limited, non-transferable, and revocable license to access and participate in the Love Alchemy course for personal use only. 2.2. This license does not include the right to modify, reproduce, distribute, publicly display, create derivative works from, or commercially exploit the Love Alchemy course or its content. 2.3. The User may not sublicense, transfer, or assign the license to any third party. 3. Prohibited Uses: 3.1. The User shall not, without the express written consent of the Owner: 3.1.1. Use the Love Alchemy course or its content for any commercial purpose, including but not limited to selling, licensing, or offering it for sale. 3.1.2. Copy or reproduce any part of the Love Alchemy course for redistribution or public display. 3.1.3. Share proprietary information, concepts, or ideas derived from the Love Alchemy course with third parties or the public without prior written consent. 4. Confidentiality: 4.1. The User acknowledges that all content, materials, concepts, methodologies, techniques, and ideas from the Love Alchemy course are confidential and proprietary information. User agrees to maintain the confidentiality of all such information during and after the course's participation. 5. Non-Disclosure: 5.1. The User shall not disclose, share, or communicate to any third party any proprietary information, concepts, methodologies, techniques, or ideas from the Love Alchemy course without the prior written consent of the Owner. 6. Ownership of Derivatives: 6.1. Any adaptations, modifications, or enhancements to the Love Alchemy course and its content created by the User shall be considered the exclusive property of the Owner. The User hereby assigns all rights, title, and interest in such derivatives to the Owner. 7. Enforceability: 7.1. The User agrees and acknowledges that any breach of this Agreement could result in irreparable harm to the Owner. In the event of a breach, the Owner shall have the right to seek damages, injunctive relief, and legal costs incurred in enforcing this Agreement. 8. Governing Law: 8.1. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Owner's principal place of business is located. Modification: Any modification or amendment to this Agreement must be made in writing and signed by both parties. Binding Effect: This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns.
